Terms of Service
These Terms of Service govern your access to and use of www.crescentbioresearch.com and the products sold by Crescent Bioresearch LLC. They form, together with the documents they incorporate by reference, the binding agreement between you and Crescent. Please read them in full before placing an order.
01Acceptance of Terms
By accessing, browsing, or purchasing from www.crescentbioresearch.com (the "Site") or otherwise transacting with Crescent Bioresearch LLC ("Crescent", "we", "us"), you agree to be bound by these Terms of Service (these "Terms"), our RUO Disclaimer, our Privacy Policy, our Shipping Policy, and our Returns Policy, each of which is incorporated by reference into these Terms.
If you do not agree to all of the terms listed, access and use of this site becomes strictly prohibited.
02Eligibility
You must be at least eighteen (18) years of age to access or use the Site or place an order. You must be a qualified researcher, or represent an entity that is a qualified researcher, purchasing solely for in-vitro research and laboratory development purposes. By placing an order, you affirm that you meet these eligibility requirements and that all information you provide is accurate and complete. Buyer acknowledges that Safety Data Sheets (SDS) for each supplied compound are available at crescentbioresearch.com/sds and agrees to review the applicable SDS before handling the material.
03Changes to Terms
Crescent reserves the right to modify these Terms at any time by posting an updated version on the Site. The "Last updated" date at the top of these Terms reflects the most recent change. Continued use of the Site or placement of new orders after such posting constitutes acceptance of the modified Terms.
04Products and Services
All products listed on the Site are research-grade compounds supplied solely for research use only as described in the RUO Disclaimer. Specifications, including purity, endotoxin, lot number, and certificate-of-analysis values, are stated on each product page and are verified per lot by an independent third-party laboratory.
Crescent reserves the right to modify, discontinue, or substitute any product without notice. Substitutions, where they occur, will only be made with comparable specifications and with customer consent.
05Orders, Pricing, and Acceptance
Placement of an order on the Site constitutes an offer to purchase, not a binding contract. All orders are subject to acceptance by Crescent. Crescent reserves the right to refuse, modify, or cancel any order in whole or in part for any reason or for no reason, including but not limited to:
- Suspected violation of the RUO Disclaimer or applicable law;
- Order quantities suspected to indicate non-research use;
- Pricing or product description errors;
- Inability to verify customer identity or shipping address;
- Product unavailability or stock issues.
All prices are listed in U.S. dollars and are exclusive of applicable sales tax, which will be calculated and added at checkout based on the shipping address. Prices are subject to change without notice. In the event of a manifest pricing error, Crescent reserves the right to cancel the affected order and refund any payment in full.
06Payment
Payment is required at the time of order placement. Accepted methods include U.S. bank-account payments processed through ValidiFI and manual-settlement methods including Zelle and Cash App. Bank data is processed through PCI-compliant partners; Crescent does not store full bank-account credentials. Additional payment options (debit card and Venmo) will resume once the corresponding processor integrations are complete.
If payment authorization is declined, your order will not be processed. You are responsible for ensuring that all billing information is accurate and that the payment method is in good standing.
Chargebacks
Customers who initiate a chargeback prior to contacting Crescent for resolution may be subject to account suspension and may forfeit their right to future purchases. We strongly encourage customers to contact [email protected] first; in most cases, issues can be resolved directly without involving the issuing bank.
07Shipping
Crescent ships within the United States and its territories only (all 50 states plus Puerto Rico, Guam, and the U.S. Virgin Islands). Risk of loss and title for products pass to the customer upon delivery to the carrier at our facility. The customer is responsible for providing a complete and accurate shipping address. 08Returns and Refunds
Due to the nature of research-grade compounds and the inability to revalidate storage conditions after shipment, all sales are final, with the limited exceptions set forth in our Returns Policy (damaged on arrival, wrong item shipped, and order cancellations within the cancellation window).
09Research Use Only
By placing an order, you acknowledge and accept all terms of the RUO Disclaimer, including without limitation the prohibitions on human and veterinary use and the customer representations set forth therein. You further acknowledge that the RUO Disclaimer forms a material part of these Terms and that any breach of the RUO Disclaimer constitutes a breach of these Terms.
10Prohibited Conduct
You agree that you will not:
- Use any product for any purpose other than in-vitro research and laboratory development;
- Resell or transfer products to consumers, non-researchers, or any party intending non-research use;
- Make any medical, therapeutic, or health-related claim about any product, including in advertising, social media, or third-party listings;
- Provide false, misleading, or inaccurate information at checkout;
- Attempt to circumvent purchase limits, age verification, or RUO acknowledgment requirements;
- Use the Site to engage in any unlawful conduct or in any manner that interferes with the Site's operation or other users;
- Attempt to reverse-engineer, copy, scrape, harvest, or systematically download any part of the Site or its content;
- Use bots, crawlers, or automated tools to interact with the Site, except for legitimate search-engine indexing.
11Intellectual Property
Crescent grants you a limited, non-exclusive, non-transferable, revocable license to view the Site for personal, non-commercial purposes. No other rights are granted. Reproduction, distribution, modification, or creation of derivative works of any Site content is prohibited without prior written consent.
12Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR ON A PRODUCT'S CERTIFICATE OF ANALYSIS, ALL PRODUCTS ARE SOLD "AS IS" AND "AS AVAILABLE" FOR RESEARCH USE ONLY. CRESCENT MAKES NO WARRANTY, EXPRESS OR IMPLIED, AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE BEYOND RESEARCH USE, NON-INFRINGEMENT, OR ANY OTHER MATTER, EXCEPT AS REQUIRED BY APPLICABLE LAW.
Crescent does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Use of the Site is at your own risk.
13Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRESCENT'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT IS LIMITED TO THE GREATER OF (A) THE PURCHASE PRICE PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL CRESCENT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, REGARDLESS OF WHETHER CRESCENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full.
14Indemnification
You agree to defend, indemnify, and hold harmless Crescent, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of any product, including any use in violation of the RUO Disclaimer;
- Your breach of these Terms or any incorporated policy;
- Your violation of any applicable law, regulation, or third-party right;
- Any inaccurate, misleading, or false information provided by you in connection with an order.
15Governing Law
These Terms and any dispute arising from or relating to them are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising under these Terms.
16Severability & Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
These Terms, together with the RUO Disclaimer, Privacy Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and Crescent regarding the subject matter and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
